End User License Agreement (EULA) Effective Date: 11-25-24

1. Introduction This End User License Agreement ("Agreement") is a legal agreement between KW Corporation ("Licensor") and authorized users within KW Corporation ("Licensee") for the use of the KW DataSync application ("Application"). By using the Application, the Licensee agrees to comply with and be bound by the terms of this Agreement.

2. Grant of License Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the Application solely for internal business purposes of KW Corporation. This license does not permit the Application's use by external parties or for any purposes not explicitly authorized by this Agreement.

3. Restrictions on Use Licensee shall not: a) Modify, decompile, reverse-engineer, or disassemble the Application; b) Rent, lease, sell, sublicense, or distribute the Application; c) Use the Application for illegal or unauthorized purposes.

4. Ownership and Intellectual Property The Application, including all associated intellectual property rights, remains the exclusive property of Licensor. This Agreement does not grant any ownership rights to Licensee.

5. Data Usage and Privacy The Application may process internal company data as required for its functionality. All data processed through the Application is subject to KW Corporation's internal data handling and privacy policies. No data is shared outside of the company.

6. Termination This Agreement is effective until terminated. Licensor may terminate this Agreement at any time if Licensee breaches its terms. Upon termination, Licensee must cease all use of the Application and delete all copies.

7. Limitation of Liability The Application is provided "as is" without warranties of any kind, express or implied. Licensor shall not be liable for any damages resulting from the use of the Application, including but not limited to indirect, incidental, or consequential damages.

8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan.

9. Entire Agreement This Agreement constitutes the entire understanding between Licensor and Licensee regarding the Application and supersedes all prior agreements, written or oral.

Acknowledgment By using the Application, the Licensee acknowledges that they have read and understood this Agreement and agree to its terms.
